Welcome to oidohear.com. The oidohear.com website (the "Site") is operated by Oido, Inc., and is offered to you conditioned upon your acceptance of the terms, conditions, and notices contained herein (the "Terms"). Your use of the Site constitutes your agreement to all such Terms. Please read them carefully and retain a copy for your reference. oidohear.com is an E-Commerce Site that sells hearing aids. Oido, Inc. (“Oido,” “we,” “us,” or “our”) provides this Site as a service to its users.


By accessing or using the Site, you agree to be bound by these Terms. We reserve the right to update or modify these Terms at any time without prior notice. For this reason, we encourage you to review these Terms whenever you access the Site. If you do not agree to these Terms, please discontinue use of the Site. Your continued use of the Site constitutes your acceptance of these Terms.


By using this Site, you confirm and guarantee that you are at least 18 years old, and that you have the legal capacity to enter into this agreement.


Information Accuracy

We do our best to ensure that information on the Site is complete, accurate and current. Despite our efforts, however, information on the Site may occasionally be inaccurate, incomplete or out of date. All specifications, products, descriptions and prices of products on the Site are subject to change at any time without notice. We make all reasonable efforts to accurately display the attributes of our products, including the applicable colors. At any time after receiving your order, we reserve the right to accept, modify, or decline it—whether in whole or in part—even after you receive an order confirmation. We also reserve the right to limit quantities and refuse service without prior notice. If an item is listed at an incorrect price due to typographical or other errors, we have the right to cancel any order placed at the incorrect price, regardless of whether it has been processed. If payment has already been made or your account has been charged, we will issue a credit for the incorrect amount.

You are responsible for reviewing and complying with the privacy policies and terms of use posted on any Other Sites.


Intellectual Property

The Site and all of its content, including but not limited to software, HTML code, scripts, text, artwork, photographs, images, videos, and audio (collectively, "Materials"), are protected by U.S. and international copyright laws and treaties, and are the property of Oido or its licensors. These Materials are provided through the Site as a service to current and prospective visitors and are intended solely for personal and informational use, provided that all copyright and proprietary notices on the Materials remain intact.


You do not acquire any rights, titles, or interests in Oido’s Materials. You may not copy, reproduce, publish, transmit, distribute, perform, display, modify, create derivative works from, sell, license, or otherwise exploit the Site or any of its Materials without prior written permission. Additionally, you are prohibited from using the Site for any competitive or commercial purpose or allowing others to copy any of the Materials. Any unauthorized copying, modification, distribution, transmission, display, or use of these Materials is strictly prohibited. All rights not explicitly granted are reserved by Oido.


Term of Use

By using Oido’s website and services (the "Site"), you agree that any information you provide, including but not limited to usernames, passwords, addresses, email addresses, phone numbers, and financial information, will be used solely for the intended functionality of the Site.


Users may not use the Site in any manner that:


  1. harasses, abuses, stalks, threatens, defames, or otherwise infringes on the rights of any other party, including but not limited to privacy, publicity, or proprietary rights;

  6. introduces viruses, malware, or any other computer code, files, or programs designed to disrupt, damage, or interfere with the functionality of Oido’s website, servers, software, hardware, or telecommunications equipment;

  7. attempts to gain unauthorized access to Oido’s network, systems, or user accounts;

  8. encourages conduct that could be considered a criminal offense or lead to civil liability;

  9. violates these Terms and Conditions;

  10. attempts to damage, disable, overload, or disrupt Oido’s website, services, or infrastructure;

  11. impersonates another person or misrepresents your identity or affiliation with any individual or entity; or

  12. fails to comply with any applicable laws, regulations, or third-party rights.


Oido reserves the right, at its sole discretion, to limit or terminate user access to the Site, remove content, or take legal action against any user found to be in violation of these Terms. Failure or delay by Oido in enforcing these Terms does not constitute a waiver of its rights to do so in the future.


International Users

The merchandise sold through the Site is intended to comply with U.S laws and regulations. If you are a non-U.S based user, be advised that other countries may have laws, regulatory requirements, and product safety requirements that are different from those in the U.S.


Merchandise Availability

Merchandise availability on our Site is not guaranteed as it may be low in stock. If merchandise is not available by the time your order processes, we will notify you of this via e-mail. Indemnification

You agree to indemnify and hold us, our directors, officers, employees, agents, affiliates and subsidiaries harmless from and against any and all claims, damages, damages, costs and expense, including attorney fees, arising from or related to your use of the Site or breach of the Terms..


Arbitration

In the event of any controversy, claim, action, or dispute arising out of or related to any transaction conducted on this website, or the breach, enforcement, interpretation, or validity of these Terms & Conditions or any part thereof ("Dispute"), the party asserting the Dispute must first make a good faith effort to resolve it by providing written notice to the other party via registered mail. This notice must describe the facts and circumstances of the Dispute (including any relevant documentation) and allow the receiving party 30 days from the date of mailing to respond.

Unless otherwise specified in your notice, Oido will respond using your most recent billing address or the billing and/or shipping address associated with your online profile.


If the Dispute cannot be resolved through this informal process, both you and Oido agree to resolve the matter through binding arbitration, administered by the Judicial Arbitration and Mediation Services, Inc. (“JAMS”) under its then-current Comprehensive Arbitration Rules & Procedures. The arbitration shall be held in Portland, Oregon, before a single arbitrator mutually agreed upon by both parties.


Arbitration shall proceed solely on an individual basis, and no claims may be arbitrated on a class action basis. You expressly waive your right to file or participate in a class action lawsuit.


Liability Disclaimer

Your use of this Site is at your own risk. All information, materials, content, and services provided on or through the Site are offered on an "as is" basis, without any warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. With regard to our products, no warranties—express or implied—extend beyond the product descriptions provided in our order confirmation. The above exclusions of implied warranties apply only to the extent permitted by law. Please refer to your local laws for any applicable restrictions.


Oido is not responsible for any damages of any kind arising from your use of the Site, including but not limited to direct, indirect, incidental, punitive, or consequential damages, even if we have been expressly advised of the possibility of such damages. Some states do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the disclaimers, exclusions, or limitations stated above may not apply, and you may have additional rights.


Termination/Access Restriction

We reserve the right to terminate user access at any time, without notice, for violations of these Terms or legal requirements.These Terms & Conditions apply to you upon accessing the Oido website and/or completing any registration or transaction. Oido may terminate these Terms, or any portion thereof, at any time and for any reason without prior notice. However, the provisions related to Intellectual Property, Liability Disclaimers, and Indemnification shall remain in effect even after termination. The terms of this agreement are governed by the State law of Washington.
